Club By-Laws

Article I - Name
This organization shall be known as Tucson Off-Road, Incorporated; hereinafter referred to in these by-laws as the “Organization,” the “Club”, the “Corporation,” or “TOR.”
Article II - Objectives
The TOR is a non-profit organization created for the purpose of:
a. Providing social, educational and family recreational activities for its membership;
b. Promoting the continuing and renewed use of public lands for Highway/Off- Highway Vehicle (HOHV) recreation;, while maintaining/building a good working relationship with the agencies.
c. Publicizing and promoting the ideals of the United Four Wheel Drive Association (UFWDA) and Tread Lightly., while improving the status of our sport in the community.
Article III - Membership
Section 1: General
The Board of Directors may limit the number of Memberships to an exact number at any time. At no time will Memberships be revoked in order to reduce the overall Membership limit. The Board of Directors shall reserve the right to reject any individual at its sole discretion. Memberships shall only be valid if submitted in accordance with regular application processes established by the Board of Directors, as may be amended from time to time.
Section 2: Membership Qualifications
In order to be eligible for Membership an individual shall satisfy the following requirements:
a. Shall be not less than 18 years of age (except Associate);
b. Shall own or shall have regular use of an OHV vehicle (except Associate).
c. Must possess a valid driver’s license.
d. Attend (2) two club meetings within a six month period, however, if you cannot satisfy this requirement, you are still eligible for an Associate membership.
e. Attend (2) two club events within a six month period, however, if you cannot satisfy this requirement, you are still eligible for an Associate membership.
f. Must be nominated by a current member in good standing.
g. Must be voted in by a 2/3 majority of members (8 or more) present at a club meeting.
Membership may be terminated by a majority vote of the Board of Directors.
Section 3: Membership Classifications
Individual: Includes all persons who wish to join as an individual member.
Family: Includes two adults in the same household and any children under the age of 18.
Associate: Includes all persons who do not own an OHV, are under the age of 18, or cannot attend regular events. This membership classification will only be granted to a member with these circumstances. Associate members are not eligible to vote. Associate members can not hold any formal position.
Life: A special form of Individual Membership offered by the Board of Directors at their discretion from time to time, affording the Member all benefits and privileges of Membership for the duration of their life for a single, one-time fee as established by the Board of Directors.
Honorary: A special form of Individual Membership awarded by the Board of Directors to a person or persons who, in the opinion of the Board of Directors, has/have provided exceptional service or goodwill to the Corporation. At the discretion of the Board of Directors, Honorary Membership may be conferred for a specific term of membership, or for the lifetime of the honoree. An Honorary Member shall be exempt from dues for the period of the award, and shall receive all benefits and privileges accruing to Members except the right of election to the Board of Directors.
Article IV – Club Meetings
Meetings of the club, known as the Tucson Off-Road, Inc., which includes its membership and prospective membership and guests shall be held monthly on a regularly scheduled basis at a place and time so designated by the Board of Directors and so stated in the club's website or other official club publication.
Article V - Government
Section 1: Board of Directors
The Board of Directors shall consist of the officers of the club. They shall handle all club business.
Section 2: Officers and Directors
There shall be five Officers: President, Vice President, Membership Coordinator/Historian, Secretary/Treasurer, and Sergeant At Arms. The decision-making authority rank shall flow in the order listed above, with the President possessing the highest level.
Appointments, delegates and committee positions may be held by any member of the club, whether an Officer or not. The Board of Directors shall appoint the Public Relations/Photographer and Webmaster positions on an annual basis.
The President shall serve as the Chairman of the Board of Directors, and shall preside over all Board of Directors activities. And carry out the policies of the same. The President shall only vote in the event of a tie.
The Vice President shall keep himself fully informed concerning the business of the Corporation with the active assistance of the other Officers and, in the event of the absence or temporary disability of the President or a vacancy in the office of President, shall assume and carry out the duties and responsibilities of the President. The Vice President shall also perform such other duties as may from time to time be assigned to him/her by the President or by the Board of Directors.
The Membership Coordinator/Historian shall accept and record all membership applications, and keep Membership Roster up to date. Roster shall include members’ mailing addresses, phone numbers (cell and home if applicable), email addresses, and dues payments. He/she will notify members if dues payments are past due. They will also be responsible for keeping a running history of the corporation.
The Secretary/Treasurer shall have the care and custody of all funds of the Corporation. He/she shall receive all monies, pay all bills, and keep true and accurate accounting of all monies received and dispersed. The Secretary/Treasurer shall keep and preserve all records and minutes of the membership meetings and the meetings of the Board of Directors.
The Sergeant At Arms shall store club properties not responsible to other officers. He/she shall maintain meeting composure and parliamentary procedures during the meetings. He/she shall be responsible for all past, present, and upcoming information pertaining to land closure, land use, and land openings.
Section 3: Elections
Nomination for Officers shall take place annually in September. Elections shall be held in October of the same year. The newly elected Officers shall assume their responsibilities on November 1 following the elections. Each office shall be held for a term of 1 year. There shall be a minimum of two (2) nominations per office.
Upon completion of the first year after the Club’s formation, the terms of office shall be staggered by six months in order to maintain continuity. The terms of office shall be as follows:
President, Membership & One (1) Sgt-At-Arms – November
Vice President, Secretary/Treasurer, One (1) Sgt.-At-Arms – May
Section 4: Changes to the By-Laws
The By-Laws may be changed by a two-thirds vote of the members present. Any amendments to the Constitution or By-Laws must be presented to the Board of Directors in writing prior to the Board of Directors' meeting preceding the next scheduled general meeting, and notice shall be published in the newsletter a minimum of 30 days prior to the vote by the general membership.
Supplemental Rules of the By-Laws may be adopted without amending this document so long as they supplement and do not alter the original intent of this document. All such Supplemental Rules or By-Laws may be adopted only with approval of the Board of Directors and general membership.
Article VI – Finances
Section 1: Expenditures and Finance
Expenditures in excess of one hundred dollars ($100.00) shall have the approval of the majority of the voting membership at any one of the membership meetings.
Section 2: Club Funds / Disbandment
The Corporation shall remain Incorporated in order to relieve Officers and Members of individual legal liability; the Corporation shall pay all fees associated with Incorporation.
In the event of disbandment of TOR, all club funds shall either be donated to an OHV Coalition, or be used to fund a final club function such as a farewell dinner. based on a majority vote of the Membership.
ArticleVII – Sponsored Events and Trips
Section 1: Definition
A Sponsored event is by definition an event in which TOR formally recognizes the Event as a TOR Event, and the Event is officially posted at least 14 days in advance and at least two TOR members are present. Formal recognition of an Event will be established by Board of Director voting procedures, and subsequent publication on the TOR forums.
Section 2: Event Regulations
Each Event shall have an assigned Trail Boss. The Trail Boss shall lead the Event always with safety in mind. All event Attendees shall follow Trail Boss/Director instructions at all times.
An Event shall consist of only the off-road trail rides or other specifically designated activities.
Any further activity by Members or others shall not be affiliated with the Corporation.
Each Attendee is ultimately responsible for his or her own safety. Safety concerns shall be brought up to the Trail Master or an attending Director immediately.
Members who choose to bring Guests on an Event are solely responsible for the safety and the behavior of those Guests.
The consumption of alcoholic beverages or use of other controlled substances shall be governed by Arizona Revised Statues 28-1381, which states that it is unlawful for a person to drive or be in actual physical control of a vehicle in Arizona while under the influence of said substances. The Club shall be held harmless in the event this law is enforced while on an official Club run or any other Club activity.
Attendees bringing pets shall control them at all times.
Attendees shall exercise discretion in the use of vulgar, profane, and/or potentially offensive language during the course of all Events. In the event of a complaint regarding language, the determination of the Trail Boss or attending Director shall be final and binding, and shall be rendered impartially.
Section 3: Required Equipment for Event Participation
TOR VERY HIGHLY recommends that all event participants have a CB Radio.
TOR requires all listed items to be present, and available for use, for a vehicle to be permitted to participate in an event. Participants are expected to stow equipment and all other items within their vehicle in a safe manner, conscious of the effects of OHV use and possible shifting of items.
TOR Sergeant At Arms will use this list for safety inspections prior to any event. The Sergeant At Arms has final say in approval or rejection of any vehicle for event participation and may at anytime defer to a second event or club officer for additional ruling.
TOR expects each event participant to carry insurance and registration sufficient to meet the legal requirements of their vehicle state of residence and for the roads and trails traveled for the event. TOR is not responsible for assuring an entrant's vehicle is legal for the roads and trails traveled in the event.

a. Visibly charged fire extinguisher (BC or ABC)
b. First aid kit
c. Adequate spare tire, jack and lug wrench
d. Safety belts for driver and any current passenger
e. Adequate attachment points in the front and rear of the vehicle:
f. Acceptable forms of attachment points: (All Items must be mounted in a manner to provide adequate strength and integrity)
g. Tow hooks of OEM or greater integrity
h. D-Rings
i. Shackle/Clevis
j. 20ft 10,000lb snatch strap without any metal hooks
k. Secured battery (no bungee cords)
l. Headlights (Functioning)
Article VIII –Liability
Section 1: Club Liability
TOR is in no way civilly, lawfully or monetarily liable for property damage, personal injury, or death. TOR holds no insurance as a club/corporation. Each member is responsible for their own expenses incurred by others.
Article IX – Acceptance of By-Laws
By signing below, I agree to abide by the By-Laws of this corporation and all the articles presented herein, and further agree, in event of property damage, personal injury or death, to absolve Tucson Off-Road and all its members and affiliates from any and all responsibility.
